    Terms & Conditions

    These Terms and Conditions ("Terms") govern your use of the Triadex Services website at triadexservices.com (the "Site") and any marketing services ("Services") provided by Triadex Services, a division of Print Processing Industries, LLC ("Triadex," "we," "us," or "our"). By accessing the Site or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

    1. Use of the Site

    You may use the Site for lawful purposes only. You agree not to use the Site in any way that violates applicable laws or regulations, infringes on the rights of others, or interferes with the operation of the Site. You may not attempt to gain unauthorized access to any part of the Site, its servers, or any systems connected to the Site.

    2. Intellectual Property

    All content on the Site, including text, graphics, logos, images, videos, data compilations, software, and design elements, is the property of Triadex or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. BrandAtlas and LOOP are trademarks of Triadex. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any Site content without our prior written consent.

    3. Services and Service Orders

    The scope, features, and deliverables of any Services you purchase from Triadex are defined in a separate service order or statement of work agreed to by both parties. These Terms apply in addition to any service order. In the event of a conflict between these Terms and a service order, the service order will govern with respect to the specific Services described in that order.

    4. Fees and Payment

    You are responsible for paying all fees specified in your service order, plus applicable sales tax as required by law. Payment terms are as specified in your service order. If you cancel Services after work has commenced, you are responsible for reimbursement of all out-of-pocket expenses incurred by Triadex and any cancellation fees specified in your service order.

    5. Client Responsibilities

    You are responsible for providing accurate and complete information needed to perform the Services. You are responsible for ensuring that all advertising copy, creative materials, offers, and promotions you provide or approve comply with all applicable federal, state, and local laws, including truth-in-advertising laws, industry regulations, and any franchise or licensing requirements. Triadex may provide marketing recommendations, but you retain final approval over all materials and accept responsibility for their compliance.

    6. Third-Party Providers

    Triadex may use third-party vendors and service providers in connection with the delivery of Services, including data providers, print production, mailing services, advertising platforms, and technology partners. Triadex selects these providers with care but is not responsible for their independent actions or omissions.

    7. Data and Privacy

    Our collection and use of personal information is governed by our Privacy Policy. By using the Site or Services, you acknowledge that you have read and understood our Privacy Policy. If you provide us with customer data for use in marketing campaigns, you represent and warrant that you have obtained all necessary consents and authorizations to share that data with us and that our use of that data as directed by you complies with all applicable privacy laws.

    8. Disclaimer of Warranties

    THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRIADEX DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TRIADEX DOES NOT GUARANTEE SPECIFIC MARKETING RESULTS, RESPONSE RATES, OR RETURN ON INVESTMENT, AS CAMPAIGN PERFORMANCE DEPENDS ON MANY FACTORS OUTSIDE OUR CONTROL.

    9. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIADEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. TRIADEX'S TOTAL LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TRIADEX DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

    10. Indemnification

    You agree to indemnify, defend, and hold harmless Triadex and its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services, (b) any advertising copy, materials, or offers you provide or approve, (c) your violation of these Terms, or (d) your violation of any applicable law or the rights of any third party.

    11. Credit and Refund Policy

    Triadex does not offer refunds for completed services. If you believe there is an issue with service delivery, you may submit a dispute for review within 10 business days of the service date. Disputes will be evaluated individually, and credits may be issued at Triadex's discretion. To initiate a dispute, contact your Triadex Account Executive or call 877-874-2339.

    12. Termination

    Triadex may terminate or suspend your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Either party may terminate a service engagement as specified in the applicable service order.

    13. Governing Law and Dispute Resolution

    These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from or related to these Terms or the Services shall be submitted to binding arbitration in accordance with the Rules of Commercial Arbitration of the American Arbitration Association (AAA), with proceedings conducted in Hillsborough County, Florida. You agree that any cause of action arising from these Terms must be commenced within one (1) year after the cause of action arose.

    14. Changes to These Terms

    We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Continued use of the Site or Services after changes are posted constitutes your acceptance of the updated Terms.

    15. Severability

    If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
