These Terms and Conditions ("Terms") govern your use of the Triadex Services website at triadexservices.com (the "Site") and any marketing services ("Services") provided by Triadex Services, a division of Print Processing Industries, LLC ("Triadex," "we," "us," or "our"). By accessing the Site or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

1. Use of the Site

You may use the Site for lawful purposes only. You agree not to use the Site in any way that violates applicable laws or regulations, infringes on the rights of others, or interferes with the operation of the Site. You may not attempt to gain unauthorized access to any part of the Site, its servers, or any systems connected to the Site.

2. Intellectual Property

All content on the Site, including text, graphics, logos, images, videos, data compilations, software, and design elements, is the property of Triadex or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. BrandAtlas and LOOP are trademarks of Triadex. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any Site content without our prior written consent.

3. Services and Service Orders

The scope, features, and deliverables of any Services you purchase from Triadex are defined in a separate service order or statement of work agreed to by both parties. These Terms apply in addition to any service order. In the event of a conflict between these Terms and a service order, the service order will govern with respect to the specific Services described in that order.

4. Fees and Payment

You are responsible for paying all fees specified in your service order, plus applicable sales tax as required by law. Payment terms are as specified in your service order.

Payment Method Fees. Triadex accepts several payment methods, including ACH bank transfer and credit and debit card. A processing fee may apply to certain payment methods. Any applicable fee will be itemized and shown to you at checkout before you complete payment. Triadex applies a fee to credit card payments that does not exceed our cost of acceptance. This fee is not applied to debit card payments or to ACH bank transfer payments. You can avoid the credit card fee by paying via ACH bank transfer. By completing checkout, you authorize Triadex to charge the total amount shown, including any applicable processing fee.

If you cancel Services after work has commenced, you are responsible for reimbursement of all out-of-pocket expenses incurred by Triadex and any cancellation fees specified in your service order.

5. Client Responsibilities

You are responsible for providing accurate and complete information needed to perform the Services. You are responsible for ensuring that all advertising copy, creative materials, offers, and promotions you provide or approve comply with all applicable federal, state, and local laws, including truth-in-advertising laws, industry regulations, and any franchise or licensing requirements. Triadex may provide marketing recommendations, but you retain final approval over all materials and accept responsibility for their compliance.

6. Third-Party Providers

Triadex may use third-party vendors and service providers in connection with the delivery of Services, including data providers, print production, mailing services, advertising platforms, and technology partners. Triadex selects these providers with care but is not responsible for their independent actions or omissions.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Site or Services, you acknowledge that you have read and understood our Privacy Policy. If you provide us with customer data for use in marketing campaigns, you represent and warrant that you have obtained all necessary consents and authorizations to share that data with us and that our use of that data as directed by you complies with all applicable privacy laws.

8. Google-Connected Features

Certain Services allow you to connect third-party accounts, including Google Ads, to Triadex through Google's authorization process. Your use of those features is also subject to Google's applicable terms and policies. You represent that you are authorized to grant Triadex access to any account you connect, and you may revoke that access at any time. Triadex's access to and use of data obtained through Google APIs is described in our Privacy Policy and adheres to the Google API Services User Data Policy, including its Limited Use requirements.

9. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRIADEX DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TRIADEX DOES NOT GUARANTEE SPECIFIC MARKETING RESULTS, RESPONSE RATES, OR RETURN ON INVESTMENT, AS CAMPAIGN PERFORMANCE DEPENDS ON MANY FACTORS OUTSIDE OUR CONTROL.

10. Search Engine, Local Search, and AI Search Performance

Certain Services include search engine optimization (SEO), local search optimization (including Google Business Profile optimization and our GBP PowerRank service), and answer-engine and generative-engine optimization (AEO/GEO) intended to improve the visibility, ranking, or traffic of your website or business listings. You acknowledge that search engines, mapping platforms, business-listing platforms, and AI answer engines, including Google, Google Business Profile, Bing, and third-party AI systems, are operated by independent third parties whose ranking algorithms, indexing decisions, display formats, policies, and enforcement actions are controlled solely by those third parties and are subject to change at any time without notice.

TRIADEX DOES NOT CONTROL AND CANNOT GUARANTEE ANY SPECIFIC RANKING, POSITION, PLACEMENT, IMPRESSION, CLICK, TRAFFIC, OR CONVERSION OUTCOME. SEARCH, LISTING, AND AI-SEARCH VISIBILITY MAY FLUCTUATE OR DECLINE, AND WEBSITES, LISTINGS, OR PROFILES MAY BE FILTERED, SUSPENDED, RESTRICTED, DEINDEXED, OR REMOVED, AS A RESULT OF FACTORS OUTSIDE TRIADEX'S CONTROL, INCLUDING BUT NOT LIMITED TO ALGORITHM UPDATES, POLICY CHANGES, MANUAL OR AUTOMATED ENFORCEMENT ACTIONS, VERIFICATION OR TRUST DECISIONS, COMPETITOR ACTIVITY, THIRD-PARTY EDITS, MARKET CONDITIONS, AND THE ACTIONS OR OMISSIONS OF GOOGLE, OTHER PLATFORMS, OR OTHER THIRD PARTIES.

Triadex will use commercially reasonable efforts and generally accepted, openly available tools, software, and techniques to pursue the performance objectives described in your service order. Because platform algorithms and enforcement systems are proprietary, evolving, and outside our control, you acknowledge that even accepted, good-faith optimization methods and the tools or software that support them carry inherent risk and may, in circumstances outside Triadex's control, be associated with ranking loss, listing filtering, or profile suspension or restriction.

You accept these risks as a condition of engaging Triadex as your marketing agency. To the maximum extent permitted by law, you agree that Triadex shall not be liable for, and you release, hold harmless, and indemnify Triadex and its officers, employees, agents, and affiliates from and against, any loss, damage, claim, or expense arising out of or related to changes in search, listing, or AI-search visibility, ranking, or traffic, or the filtering, suspension, restriction, deindexing, or removal of any website, listing, or Google Business Profile, where such outcome results from algorithm or policy changes, platform enforcement or verification decisions, competitor or third-party activity, other external factors, or the good-faith use of optimization tools, software, or techniques employed by Triadex to perform the Services. This section does not limit liability for Triadex's gross negligence, willful misconduct, or fraud, or any liability that cannot be limited or excluded under applicable law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIADEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. TRIADEX'S TOTAL LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TRIADEX DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Triadex and its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services, (b) any advertising copy, materials, or offers you provide or approve, (c) your violation of these Terms, or (d) your violation of any applicable law or the rights of any third party.

13. Credit and Refund Policy

Triadex does not offer refunds for completed services. If you believe there is an issue with service delivery, you may submit a dispute for review within 10 business days of the service date. Disputes will be evaluated individually, and credits may be issued at Triadex's discretion. To initiate a dispute, contact your Triadex Account Executive or call 877-874-2339.

14. Termination

Triadex may terminate or suspend your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Either party may terminate a service engagement as specified in the applicable service order.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from or related to these Terms or the Services shall be submitted to binding arbitration in accordance with the Rules of Commercial Arbitration of the American Arbitration Association (AAA), with proceedings conducted in Hillsborough County, Florida. You agree that any cause of action arising from these Terms must be commenced within one (1) year after the cause of action arose.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Continued use of the Site or Services after changes are posted constitutes your acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
